Word of Mouth Referral Terms

These Word of Mouth Referral Terms (these "Terms") govern the PatientPayments™ Word of Mouth program (the "Program"). They are between PatientPayments LLC, an Idaho limited liability company with offices at 414 Church St, Ste 116, Sandpoint, ID 83864 ("PatientPayments," "we," "us," or "our"), and the individual who participates ("you").

The Program is for practices and individuals in the United States who are 18 or older. By copying, posting, or otherwise sharing a referral link, or by participating in the Program, you agree to these Terms. If you do not agree, do not share a referral link or participate.

This is a limited promotional program. It is not the Partner Program, does not pay commission, and does not make you an employee, contractor, or partner of PatientPayments.

1. The Program

If you participate, we may give you a personal referral link. When another independent practice signs up using your link and completes a qualifying event, you may receive a promotional reward.

The current reward is one fifty-dollar (US$50) Amazon.com Gift Card per qualified referred practice. We may substitute a reward of equivalent value. Rewards have no cash value and are not transferable.

We may disable, replace, or revoke your referral link at any time for any reason. A revoked link stops new attribution. It does not by itself take back a reward you have already earned.

2. How a referral qualifies

A referred practice is credited to you only if our systems record that they signed up through your link (or we manually assign the credit). A reward becomes due only after that practice's first successful patient payment on PatientPayments (a captured charge greater than zero).

Clicks, page views, incomplete signups, and practices that never process a successful patient payment do not earn a gift card. We do not guarantee that any colleague will sign up or transact.

Our records of clicks, attribution, and payments are final absent manifest error. Tracking can fail when cookies are blocked or a person uses a different device.

3. How you may share

You may share your personal link with colleagues who might benefit from PatientPayments. If you share your link publicly, you must clearly disclose that you may receive a reward.

You may not:

  • Send unsolicited bulk email or text messages about PatientPayments or your link
  • Make misleading claims about PatientPayments, the Program, or the reward
  • Represent yourself as our employee, agent, or partner
  • Post your link anywhere you do not have permission to post

4. What does not qualify

You will not receive a reward, and we may void a pending reward, if:

  • You refer yourself, a practice you own or control, or another location of your current practice
  • The signup is fake, fraudulent, duplicative, or obtained by misleading someone
  • You offer cash or other inducements we have not approved
  • You are a government employee, or you are otherwise prohibited by law from receiving the reward
  • You violate these Terms or applicable law

You represent that you are permitted to receive the reward under your employer's policies and applicable law. It is your responsibility to check.

The reward is not conditioned on, and has nothing to do with, referral of patients, patient volume, or any item or service paid for by a government health program.

5. Discretion and changes

The Program is discretionary. We may change, pause, or end it at any time, including the reward amount and qualifying rules, and we may deny or void a reward for fraud, self-referral, abuse, or any other reason we reasonably determine.

Changes to the Program do not affect rewards you have already earned, except that we may still deny or void a reward for fraud, self-referral, abuse, or a violation of these Terms.

A gift card is a limited promotional reward, not wages, not a commission, and not consideration for services. Receiving one does not create an employment, agency, or partnership relationship, and it does not enroll you in the Partner Program.

If your PatientPayments account ends, pending rewards are void.

6. Taxes and delivery

You are responsible for any taxes that may apply to a reward. We may require a completed Form W-9 (or other tax form) before we send a reward, and we may issue a tax form if a reporting threshold is reached.

We send gift cards manually after we confirm a reward is due; delivery timing may vary. We may contact you at the email on your account to arrange delivery.

7. Privacy

We use your name, email, clicks on your link, and whether a referred practice is pending or qualified, to operate the Program and as described in our Privacy Policy.

We do not show you a referred practice's payment activity or amounts. We do not show the referred practice your name during ordinary signup. We do record that a signup came through a referral link so we can operate the Program.

8. Other terms

To the maximum extent permitted by law, PatientPayments and its members, officers, employees, and agents are not liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, arising out of the Program, including tracking failures, even if we have been told they are possible. Your sole remedy for any dispute about the Program is the reward we determine is due, or to stop participating.

These Terms are governed by the laws of the State of Idaho, without regard to conflict-of-law rules. The state and federal courts located in Bonner County, Idaho have exclusive jurisdiction, and you consent to that venue. These Terms are the entire agreement between you and us about the Program and do not change the Terms of Service that govern your use of PatientPayments.

If any part of these Terms is unenforceable, the rest remains in effect.

9. Amazon.com Gift Cards

Amazon.com is not a sponsor of this promotion. Except as required by law, Amazon.com Gift Cards ("GCs") cannot be transferred for value or redeemed for cash.
